EBARA Pumps South America announces the acquisition of the company Germek

EBARA Signs Equity Transfer Agreement with Germek, a Brazilian Manufacturer and Distributor of Pump Units

– Expanding Market Share and Strengthening Solution Capabilities Globally –

 

EBARA Corporation (hereinafter: EBARA) has signed an equity transfer agreement, effective October 31, 2025, with the equity holders of GEMINI GERMEK HIDROMECÂNICA LTDA. (hereinafter: Germek), a company engaged in the design, manufacturing, sales, and service of pump units for the fire fighting and agriculture sectors, mainly in Brazil. The agreement was concluded through EBARA's Brazilian subsidiary, EBARA Bombas América do Sul Ltda. EBARA plans to acquire 100% of Germek’s equity interest around the end of January 2026, subject to the necessary procedures under relevant laws and regulations.

 

 

1. Background and Purpose

In our medium-term management plan, E-Plan 2025, we have positioned the Building Service & Industrial Segment as a growth business. We are actively investing in new bases, including through M&A, to capture growth markets and increase our market share globally. This marks the 12th new base outside Japan in approximately six years, as we continue progressing toward our long-term vision, E-Vision 2030, launched in 2020.

 

In the South American region, the market for pumps for agricultural, construction, industrial, and other applications is growing, and EBARA has been expanding in the region through its bases in Brazil and Colombia. Last year, we established a new base in Uruguay, the first of EBARA’s in South-Central South America, and focused on expanding market share.

Through this acquisition, EBARA will strengthen its ability to provide customized pump unit solutions tailored to diverse customer needs, in addition to its conventional offering of stand-alone pump products, particularly in Brazil and other regional markets. EBARA believes that this acquisition will improve the profitability and efficiency of the Building Service & Industrial Segment, supporting our goal of achieving further evolution into a Global Excellent Company.

 

 

2. Overview of the Company to be Acquired

Company Name: GEMINI GERMEK HIDROMECÂNICA LTDA.

Location: São Paulo State, Brazil

Main Business: Design, manufacturing, sales, and service of pump units for the fire fighting and agricultural sectors.

Scheduled Closing Date: End of January 2026

 

 

3. Future Plans

Moving forward, we will leverage Germek's advanced design and engineering capabilities to accurately capture and respond to the needs of the fire fighting pump market, while also strengthening the competitiveness of our products and services in the agricultural and other segments.
